Contracts & Agreements Toolkit
Most small agreements are never written down, or they are copied from a stranger's draft that was made for another country, another kind of deal and another century. Then a deposit is not returned, a client refuses to pay for "extra" work, or a partner walks away, and nobody can say what was agreed.
This toolkit helps you put the deal in writing before that happens. The online agreement and contract builder asks only the questions your kind of agreement needs and writes a complete numbered draft with definitions, clauses, schedules and signature blocks, with notes on stamp paper, registration and witnesses for India, the UK, the US, the UAE or any other country. The Word files help you check a contract before you sign it and explain the standard clauses in plain English. Everything is free and stays on your own device.
These are starting drafts, not legal advice. Laws, stamp duty and registration rules differ by country and state and change over time, so read every clause and have a lawyer check anything important before anyone signs.
Made for: Landlords and tenants, shop owners, freelancers and agencies, small businesses, startups and founders, HR teams, event planners, people lending money to friends or family, and anyone who wants a clear written agreement.
What each one does
β‘ Online Agreement & Contract Builder
Pick the agreement you need from 35 types, choose the country, answer only the questions that agreement needs and get a complete numbered draft: parties, background, definitions, the main clauses for that kind of deal, the optional clauses you switch on, schedules, and signature and witness blocks. You can edit any word in the preview, then print it, save it as PDF, copy the text or download it as a Word file. Nothing is uploaded: the draft is made in your browser and saved only on this device.
- 35 agreement types in 8 groups: property and rent, buying and selling, services and work, people and jobs, confidentiality, business and partners, money and loans, and authority and settlements
- Rent and lease, leave and licence, PG, commercial shop lease, agreement to sell property, equipment hire, sale of goods, vehicle sale, supply, distribution, franchise outline and sales agent agreements

β Contract Checklist Before You Sign (Word)
Most contract problems were visible on the page before anyone signed: a wrong name, a blank amount, a notice period that only works one way, a penalty hidden in a schedule. This checklist walks you through any agreement in the order a careful reviewer reads it, with tick boxes, space for notes and a list of red flags. It ends with the signing formalities for India, the UK, the US and the UAE so the signed document can actually be used later.
- A cover table to note the agreement, the other party, its value, dates and who reviewed it
- 10 sections with tick boxes: parties and authority, what is being exchanged, money and payment, dates and term, performance and quality, ending the agreement, risk clauses (indemnity, liability, guarantees), confidentiality and IP, disputes and law, signing and records
- 15 common red flags, each with what to ask for instead
π Contract Clause Library (Word)
Contracts reuse the same two dozen clauses again and again, often in words nobody explains. This library sets out each standard clause as ready sample wording, then says in plain English what it does, when you need it, what to watch for and how it changes between India, the UK, the US and the UAE. Copy a clause into your own draft or use it to understand one you have been sent.
- 24 clauses: definitions, term, payment, late payment, taxes, confidentiality, data protection, IP ownership, licence, warranties, indemnity, limitation of liability, insurance, force majeure, termination for breach, termination for convenience, consequences of termination, non-solicitation, non-compete, assignment, notices, governing law and courts, arbitration, entire agreement with severability
- For each: sample wording, "What it means", "When to use it", "Watch for" and country notes
- Arbitration and governing law wording for India (Arbitration and Conciliation Act, 1996), England and Wales (Arbitration Act 1996), US states (AAA rules) and the UAE (DIAC)
π€ Mutual NDA Template (Word)
Before you show a business plan, a client list, source code or prices to a possible partner, buyer or supplier, both sides usually sign a short non-disclosure agreement. This mutual NDA protects information flowing in both directions, lists the usual exceptions, sets how long the duty lasts and what happens to the information at the end, and leaves blanks for the law and courts of your country.
- Parties, purpose and effective date
- Definition of Confidential Information with marked and unmarked information
- Duties of the receiving party, people allowed to see it, and the standard of care
π€ Memorandum of Understanding Template (Word)
A memorandum of understanding records what two organisations plan to do together before a detailed contract is signed: a college and a company running a training programme, two businesses exploring a joint product, an NGO and a sponsor. This template sets out the purpose, each side's role, costs and timeline, who to contact, and states clearly which parts are binding (confidentiality, costs, ending) and which are only intentions.
- Parties, background and purpose
- Roles and responsibilities table for each party
- Timeline and review meetings, costs and resources, contact persons
Good to know
- Every template is free and contains no macros, so it opens without security warnings.
- Yellow cells are for typing; grey cells calculate by themselves and are protected against accidental overwriting (Review βΊ Unprotect Sheet, no password).
- Online tools keep your details only in this browser on this device. Nothing is uploaded.
- Tax rates and statutory limits mentioned in these files are a help, not advice: check the current rules before relying on them.
